DigiForBiz Intellectual Property: All trademarks, logos, service marks, and other intellectual property owned by DigiForBiz remain our exclusive property. You may not use our intellectual property without our prior written consent.
Project Timelines: We will provide estimated timelines for service delivery in your service agreement. While we strive to meet all deadlines, timelines are estimates and may be subject to change based on project complexity, client responsiveness, and unforeseen circumstances.
Delays: We are not responsible for delays caused by factors beyond our reasonable control, including but not limited to client delays in providing information or approvals, third-party service disruptions, or force majeure events.
Revisions: Service agreements may include a specified number of revisions. Additional revisions may be subject to additional fees. Revision policies will be clearly outlined in your service agreement.
Acceptance: Upon delivery of work product, you will have a specified period to review and request revisions. If no feedback is provided within the specified period, the work will be deemed accepted.
Service Warranties: We warrant that our services will be performed in a professional manner and in accordance with industry standards. We will use reasonable efforts to ensure the accuracy and quality of our work.
No Guarantees: While we strive to achieve positive results, we cannot guarantee specific outcomes such as search engine rankings, website traffic, conversion rates, or return on investment. Results may vary based on numerous factors beyond our control.
Third-Party Services: Our services may depend on third-party platforms, tools, or services. We are not responsible for the availability, performance, or changes to third-party services that may affect our service delivery.
Disclaimer of Warranties: EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGIFORBIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
Maximum Liability: Our total liability for any claims arising out of or related to our services shall not exceed the total amount paid by you to us for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

Termination by Client: You may terminate your service agreement at any time by providing written notice to us. Termination may be subject to payment for services already performed and any applicable cancellation fees as specified in your service agreement.
Termination by DigiForBiz: We reserve the right to suspend or terminate services immediately if you breach these Terms, fail to make payments, engage in fraudulent or illegal activities, or for any other reason we deem necessary to protect our business or other clients.
Effect of Termination: Upon termination, your right to use our services will immediately cease. We may delete or disable your account and any associated data. Provisions of these Terms that by their nature should survive termination will remain in effect.
Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes business strategies, financial information, client lists, and other sensitive information.
Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.
Duration: Confidentiality obligations will continue for a period of three (3) years after the termination of our business relationship, unless a longer period is specified in a separate confidentiality agreement.
You agree to indemnify, defend, and hold harmless DigiForBiz, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
• Your use of our services in violation of these Terms
• Your violation of any law or regulation
• Your infringement of any third-party rights
• Content or materials you provide to us that violate any law or infringe any rights
Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Jurisdiction: Any disputes arising out of or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
Dispute Resolution Process: Before initiating any legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through mediation or arbitration as mutually agreed.
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet failures, or third-party service disruptions.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with your service agreement, Privacy Policy, and Cookies Policy, constitute the entire agreement between you and DigiForBiz regarding your use of our services and supersede all prior agreements, understandings, or communications.
